Transactional Assistance

Often, even a COO, CIO/CTO or General Counsel of a large and successful enterprise or Government agency may only face a large and mission critical technology transactions a few times in the course of their career. How often do large multinationals truly transform themselves, or negotiate 25 year outsourcing transactions, or restructure (if not fully transform ) their global business processes. For example, even the largest airlines in the world only procure and implement a global reservation system once every 20 to 25 years, if not longer. Whereas, a leading global CIO or general Counsel might have undertaken a few of those transactions, Duncan has assisted multinational clients on well over 100 large, mission critical, commercial transactions and development projects where failure was not an option.

The commercial, risk management and allocation, intellectual property, change management, and financial norms of complex commercial transaction can be more than daunting. With expert assistance, a transaction’s commercial terms, negotiations and business closing can be simplified, organized and successfully supported.

Commercially structured as a PPP (Public-Private Partnership) worth well over a Billion dollars during its contract life, The transformation of Bermuda’s national airport is one of the largest public sector infrastructure projects in Bermuda’s history. Duncan was chosen, at the outset of that transaction, to serve as the Bermuda Government’s Chief Counsel by the Minister of Finance and Deputy Premier. The 3 year project’s construction and financial closing was worth many 100’s of millions of dollars, and the deal was completed in 2017. Duncan has served as counsel on three different Olympic venue bids and commercial negotiations, and well as represent the Bermuda Government on its successful bid to host the 2017 Amercia’s Cup Regatta in Bermuda, which brough approximately $500 million of capital to Bermuda. Over a decade ago, the bank of Canada retained Duncan to assist with the 2 year project to develop and produce the world’s first secure polymer banknotes, which the Bank of England has now followed and adopted to produce their currency as well as Bermuda’s currency.
